Sebastian Meis, transactional corporate attorney in Baker Donelson's Atlanta office, is chair of the Firm's Corporate Group and a member of the Cross-Border Team.

Professional Biography


As an attorney licensed in the U.S. and Germany, Mr. Meis advises companies on foreign direct investment (FDI) and commercial cross-border transactions, including mergers and acquisitions and joint ventures, as well as financing, contract negotiation, supply chain and trade, and immigration and employment matters.

From initial market entry and U.S. entity formation to site selection and ramp-up of commercial operations, Mr. Meis represents both U.S. and non-U.S. clients who are active in a variety of industries, including automotive, electric vehicle manufacturing, renewable energy, aviation, food, shipping, transportation, technology, and logistics. He often acts as outside general counsel to foreign-owned clients operating in the U.S., advising them in their ongoing business and legal needs.

Mr. Meis has particular experience in the formation and restructuring of complex holding structures and is a trusted advisor for U.S. site selection projects. He has represented investment funds in corporate, tax, and bank regulatory matters in connection with real estate and oil and gas investments in the U.S. He has also advised global enterprises on the acquisition of businesses and restructuring of investments and has extensive experience guiding multinational clients through complex business immigration issues and international tax matters.

  • Advised a German Tier 1 automotive supplier on establishing their first U.S. plant.

  • Worked on numerous projects advising German clients in the formation of subsidiary entities and operations in Germany, Mexico, and Canada.

  • Led the acquisition of U.S. and Canadian entities for a German manufacturer.

  • Advised German companies on the strategic acquisition of production facilities in the U.S. and on their market entry.

  • Advised German health care and IT companies on establishing a U.S. presence in Silicon Valley.
