Professional Biography


Mr. Kaplan focuses his practice on assisting clients in the areas of commercial real estate transactions, secured lending, and corporate matters. His clients include buyers, sellers, lenders, developers, and borrowers in real estate acquisitions and dispositions. Mr. Kaplan has worked with clients from a wide variety of industries, including food producers and fast-casual restaurant brands, emerging companies, health care providers, hospitals, ambulatory care centers, outpatient facilities, and medical office buildings.

Mr. Kaplan has a particular focus on advising borrowers in a wide range of financing transactions, including senior secured and unsecured credit facilities, first-lien and second-lien transactions, syndicated and bilateral financings, mezzanine financings, mortgage loans, and cash-flow, asset-based, and split-lien transactions, as well as workouts, restructurings, and debtor-in-possession facilities. He has extensive experience with acquisition financings and other transformative transactions in a broad swathe of deal sizes, from middle market financings to public company finance matters.

  • Represent a private equity-backed national hospital system in its sale of a New Jersey hospital, which included the hospital, ancillary real estate, and medical services.

  • Represented specialty pharmacy in its multimillion-dollar sale to a private equity portfolio company. 

  • Advised clients with national retail presences on the execution of a 50-state sweepstakes promotion in compliance with state and federal legal requirements.

  • Assisted in succession planning and corporate reorganization for key executives. 

  • Advised an integrated health care delivery system serving the residents of southern New Jersey in connection with an affiliation transaction with a regional health system.
