Specific experience representing lenders and borrowers on leveraged finance transactions, including drafting and negotiating credit agreements, intercreditor agreements, security agreements and other primary loan documents, as well as managing transaction closings and supervising junior associates and paralegals is preferred. Experience with mezzanine finance or other private credit funds is a plus. The associate will advise clients on emerging privacy considerations and issues, draft policies and data protection addendum, and provide general privacy counseling. Specific experience in one or more of the following areas: consumer privacy; ad tech and related privacy concerns, comprehensive state privacy laws, such as the CCPA; federal privacy laws, such as GLBA, FCRA, COPPA, and the FTC Act; health information privacy (including human subjects research); and state laws (CCPA, CMIA, Washington My Health My Data Act, Nevada SB 370) health care privacy laws; artificial intelligence laws (CO AI Act, EU AI Act); and international data transfer, privacy and localization laws and regimes, such as the EU’s GDPR. The ideal candidate should have experience drafting privacy policies, negotiating privacy-related contracts and data processing agreements (BAAs, DPAs, DUAs), providing product counseling, and conducting privacy compliance assessments.
